B2B service terms

1. Scope and business customers only
These terms apply exclusively to entrepreneurs within the meaning of § 14 BGB, legal entities under public law and special funds under public law. No contracts are concluded with consumers within the meaning of § 13 BGB.
2. Individual scope
The exact scope, deliverables, timing, customer responsibilities, fees and payment terms are agreed in an individual proposal or order confirmation. Website descriptions are general information and do not constitute a binding offer.
3. Nature of the services
Services may include process analysis, AI profitability assessment, workshops, implementation planning and operational advisory. Unless expressly agreed otherwise, no specific financial result, technical outcome or regulatory approval is guaranteed.
4. Customer cooperation
The customer provides complete and accurate information, suitable access to relevant process owners and systems, and timely decisions. Delays or additional work caused by incomplete information or changed requirements may require an adjusted schedule and fee.
5. Fees and taxes
Fees are stated in the individual proposal. Taxes are handled according to the legally applicable tax status at the time of invoicing. No price shown on this website is binding unless confirmed in writing.
6. Confidentiality and data
Confidential information is used only for the agreed purpose and protected with reasonable care. Data protection and information-security requirements for a project are agreed according to its actual scope and risk.
7. Intellectual property
Pre-existing methods, templates, know-how and frameworks remain with their respective owner. The customer receives the usage rights explicitly stated in the individual agreement for project-specific deliverables.
8. Liability
Liability is governed by German law and the individual agreement. Mandatory statutory liability remains unaffected. Any limitation of liability must be appropriate to the service and is agreed before paid work begins.
9. Cancellation and rescheduling
Rules for workshops, appointments and project cancellation are specified in the proposal or booking confirmation. A free introductory call can be rescheduled by mutual agreement.
10. Applicable law and venue
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Where legally permissible and validly agreed between merchants or equivalent business entities, the place of jurisdiction will be specified in the individual agreement.
11. Priority of individual agreements
An individually negotiated written agreement takes precedence over these general terms.
